<table style="width: 100%; border: 1px solid black; margin-top:10px; "> <tr colspan = "20"> <td colspan = "20" border-bottom="1"><b>Terms and Conditions</b></td> </tr> <tr colspan = "20"> <td colspan = "20"> <ol> <li>Payment term: Price inclusive of all taxes etc.</li> <li>Tax exemption: GST is exempted since working under Special Economic Zone (SEZ).</li> <li>Payment: 100% payment within 30 days from the date of Invoice.</li> <li>Project delays: If the project delays beyond the contract period due to delays caused by vendor, 25% of the total bill amount will be deducted, also Acsia has the right to withhold the payment, if the project doesn't come out as good as the vendor claims.</li> <li>Confidentiality clause: <ul> <li>Supplier shall hold or cause to be held, in strict confidence, any and all information received by it from Acsia for the purpose of carrying out the activities under this contract.</li> <li>Supplier shall use utmost care to maintain confidential information provided by Acsia Private Limited and limit its disclosure only to such of its employees, who would be working on this assignment and shall advise such employees and representatives of the existence and terms of this contract and the obligations of the confidentiality therein. Further, unless prior written consent by Acsia Technologies Private Limited is obtained, supplier shall not use the information provided or disclose it for any purpose other than the purpose contemplated under this contract.</li> </ul> </li> <li>Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India and in any dispute arising out of or relating to this agreement, the Parties submit to the exclusive jurisdiction of the Courts situated at Trivandrum, Kerala, India.</li> <li>Quality Adherence: <ul> <li>The Service provided should be as per the proposal provided to Acsia and no variation from the same shall be entertained.</li> <li>The Vendor should ensure complete functionality with 24/7/365 or Onsite support based on the customer requirement.</li> </ul> </li> </ol> </td> </tr> </table>
